Ending the Agreement
Either party may end this agreement with 30 days' written notice. Any outstanding payments to the Owner will be made within 60 days of termination.
Indemnification
The Owner (or Renter) agrees to protect and cover Bevans Legacy Auto Co. from any costs, damages, claims, or legal actions that happen because of the Owner’s or Renter’s actions, mistakes, or failure to follow the agreement. This means if something bad happens due to what the Owner or Renter did — like accidents, damage, or breaking laws — they promise to pay for any expenses, losses, or legal fees so Bevans Legacy Auto Co. does not have to.
Plain Language Explanation:
“This means you agree that if something goes wrong because of what you do, you’ll pay for it, so Bevans Legacy Auto Co. doesn’t have to. Likewise, if something goes wrong because of what the renter does, they will pay for it, so Bevans Legacy Auto Co. doesn't have to."
Limitation of Liability
Neither party shall be liable to the other for any indirect, incidental, consequential, or punitive damages arising from this Agreement, even if advised of the possibility of such damages. The Manager’s total liability under this Agreement shall not exceed the total compensation earned during the 3 months preceding the event that gave rise to the claim.
Dispute Resolution & Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Tennessee. Any disputes arising out of or in connection with this Agreement shall first be attempted to be resolved through mediation. If mediation fails, the parties agree to resolve the matter in a court of competent jurisdiction in Davidson County, Tennessee.
Force Majeure
The Manager shall not be held liable for failure or delay in performing obligations due to events beyond their reasonable control, including but not limited to natural disasters, war, pandemics, labor disputes, or governmental actions.
Vehicle Condition & Risk Acknowledgement
The Owner acknowledges that the Manager will rely on the Owner to provide vehicles in safe and operational condition. The Owner assumes responsibility for pre-existing mechanical issues unless disclosed prior to the start of this Agreement.
Modification and Waiver
No changes to this Agreement will be valid unless in writing and signed by both parties. Failure to enforce any term of this Agreement shall not be deemed a waiver of the right to enforce it later.
