This Vehicle Management Agreement ("Agreement") is made between Bevans Legacy Auto Co LLC ("Manager") and the undersigned client ("Owner"). This Agreement outlines the management and conditional ownership terms of the vehicle(s) described below.

TERM

This Agreement starts on the selected date and lasts for an initial 6-month term and renews on a month-to-month basis unless terminated by either party with a 30-day written notice.

Management Plan and Fee Structure

Premium Legacy - 25% commission

Backend help (includes listing, access to Bevans Legacy platform, booking support), full guest management, automated pricing, cleaning scheduling, monthly reporting, and upgrade consultations. 24/7 support, pickup/drop-off coordination, minor maintenance, mid-rental support, and airport/city placement. Insurance is covered by Owner. Designed for passive income. 

Manager Responsibilities

The Manager agrees to:

• List and promote the vehicles on rental platforms

• Handle guest communication, check-ins, and check-outs

• Coordinate basic cleanings and inspections after each trip

• Schedule routine maintenance (e.g., oil changes, tire checks)

• Provide insurance coverage for the vehicles while under management

• Collect rental payments and send monthly earnings reports

• Ensure the vehicles are clean, legal, and ready for rentals

Owner Responsibilities

The Owner agrees to:

• Provide clean and legally operable vehicles with valid registration

• Keep vehicle title, registration, and documentation current

• Allow the Manager full access to the vehicles for operations

• Report any known mechanical or safety issues immediately

Earnings and Payments

• Net earnings (after cleaning, maintenance, platform fees, insurance, etc.) will be split based on the selected management plan (see Section 9).

• The Manager will pay the Owner's share via [Insert Payment Method] by the 28th of each month, along with a monthly earnings report.

Pricing Authority

The Owner authorizes the Manager to have full control over pricing and rental terms for the vehicles during the term of this Agreement.

This includes, but is not limited to:

• Adjusting daily rental rates

• Setting mileage limits or fees

• Adding cleaning or delivery fees

• Offering discounts, promotions, or price bundles

• Making changes to listings based on seasonality or market demand

The Manager will use their experience, platform tools (such as dynamic pricing), and market conditions to optimize rental income on behalf of both parties. The Owner agrees not to interfere with pricing decisions while this Agreement is in effect.

Insurance & Liability

• The Owner will maintain commercial or rental coverage on each vehicle while under management.

• The Manager is responsible for damages or issues only if caused by gross negligence on their part.

• Renters are responsible for accidents, damages, or incidents through platform policies and insurance terms.

Ending the Agreement

Either party may end this agreement with 30 days' written notice. Any outstanding payments to the Owner will be made within 60 days of termination.

Indemnification

The Owner (or Renter) agrees to protect and cover Bevans Legacy Auto Co. from any costs, damages, claims, or legal actions that happen because of the Owner’s or Renter’s actions, mistakes, or failure to follow the agreement. This means if something bad happens due to what the Owner or Renter did — like accidents, damage, or breaking laws — they promise to pay for any expenses, losses, or legal fees so Bevans Legacy Auto Co. does not have to.

Plain Language Explanation:

“This means you agree that if something goes wrong because of what you do, you’ll pay for it, so Bevans Legacy Auto Co. doesn’t have to. Likewise, if something goes wrong because of what the renter does, they will pay for it, so Bevans Legacy Auto Co. doesn't have to."

Limitation of Liability

Neither party shall be liable to the other for any indirect, incidental, consequential, or punitive damages arising from this Agreement, even if advised of the possibility of such damages. The Manager’s total liability under this Agreement shall not exceed the total compensation earned during the 3 months preceding the event that gave rise to the claim.

Dispute Resolution & Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Tennessee. Any disputes arising out of or in connection with this Agreement shall first be attempted to be resolved through mediation. If mediation fails, the parties agree to resolve the matter in a court of competent jurisdiction in Davidson County, Tennessee.

Force Majeure

The Manager shall not be held liable for failure or delay in performing obligations due to events beyond their reasonable control, including but not limited to natural disasters, war, pandemics, labor disputes, or governmental actions.

Vehicle Condition & Risk Acknowledgement

The Owner acknowledges that the Manager will rely on the Owner to provide vehicles in safe and operational condition. The Owner assumes responsibility for pre-existing mechanical issues unless disclosed prior to the start of this Agreement.

Modification and Waiver

No changes to this Agreement will be valid unless in writing and signed by both parties. Failure to enforce any term of this Agreement shall not be deemed a waiver of the right to enforce it later.

Entire Agreement

This document represents the full understanding between the Owner and the Manager. Any changes must be made in writing and signed by both parties.

I, Christopher Bevans, as Manager of Bevans Legacy Auto Co. LLC, confirm that I have signed and agreed to this contract on today. This agreement becomes effective upon Owner’s signature.
